The Standish Care Company ("Standish"), a NASDAQ-listed company headquartered in Needham, MA, operates and/or manages fourteen assisted living communities located in Massachusetts, Virginia, North Carolina, Florida, Pennsylvania and New Hampshire. Residents of Standish’s communities are primarily elderly individuals who require supervision and assistance with activities of daily living, but do not require 24-hour skilled nursing care. Standish facilities typically house 60 to 100 residents.

CareMatrix Corporation (“CareMatrix”) is a privately-held company headquartered in Needham, MA which operates and manages three assisted living facilities and five nursing homes in Florida, Massachusetts, Maryland, and Connecticut. The Company plans to develop, manage, and/or operate a range of prototype facilities, all with flexible, market driven, resident programs, including freestanding assisted living residences, assisted living facilities combined with supportive independent living and/or extended care, and assisted living facilities with a distinct Alzheimer’s component, all within a campus-style setting.

The companies successfully completed a reverse merger of Standish into CareMatrix. Under the terms of the Merger, 50 million shares of Standish common stock were issued to CareMatrix stockholders, resulting in Standish stockholders owning approximately 11% of the combined company on a fully-diluted basis. Following consummation of the merger, Standish’s business name changed to “CareMatrix Corporation.” The new company will focus on becoming a leading provider of integrated assisted living services in distinct geographic areas.

Stonebridge Associates was retained by Standish as a financial advisor to assist in evaluating the financial aspects of the proposed transaction. Stonebridge advised Standish in evaluating the merger consideration paid to CareMatrix’s stockholders and assisted Standish’s management in their review of the operations and financial condition of CareMatrix. Stonebridge also provided the fairness opinion reviewed by Standish’s Board of Directors and included in the registration statement and proxy materials.
