Nabi Biopharmaceuticals (“Nabi” or the “Company”) is a publicly-traded biopharmaceutical company that discovers, develops, manufactures and markets products that power the human immune system. The Company, located in Boca Raton, Florida, has a portfolio of five biopharmaceutical products currently in the market and has several clinical trials underway, with a focus on novel vaccines and antibody-based therapies that prevent and treat infectious, autoimmune and addictive diseases.

Nabi retained Stonebridge Technology Associates to assist the Company in evaluating alternative new business initiatives that could result in the acquisition of a product aimed at meeting several specific criteria. These criteria included an established position as a leader in the product’s specific market, and an ability to generate an attractive, ongoing cash flow that could help to fund the Company’s research and development program. Ideally, the product should be able to strategically position Nabi in a market sector addressed by its pipeline products, particularly StaphVAX, a vaccine to prevent staph aureus infections.

After evaluating, with Stonebridge’s support, several business opportunities and potential product acquisitions, Nabi elected to pursue an opportunity to acquire PhosLo®, a prescription phosphate binder indicated for the control of hyperphosphatemia in end stage renal failure, owned by Braintree Laboratories, Inc. The product, one of the leading prescription drugs for this condition, is well established in its marketplace, and would present exciting growth opportunities for the Company while generating a substantial cash flow. Most importantly, the product’s positioning in the renal care space, the Company’s initial target market for StaphVAX, would allow Nabi to establish important sales and marketing relationships in advance of that product’s launch.

Stonebridge worked with Nabi to develop an acquisition strategy, establish a valuation range for the PhosLo® product line, create an appropriate transaction structure, manage day-to-day communications with the seller, execute efficient due diligence and acquisition processes, and negotiate business and transition issues.
